Terms of Service

These terms are a contract between you and Mia Tech Partners (“we”, “us”) governing your use of Apa (the “Service”). By creating an account you agree to them. If you don’t agree, don’t use the Service.

The Service

Apa is a hosted AI personal assistant that runs in a per-user agent sandbox and is reachable through Telegram and connected tools. We may change, add, or remove features over time. Beta features are provided as-is.

Subscriptions and billing

• Apa is a paid subscription at $99/mo, billed monthly through Stripe. We may also charge a one-time $1.00 card verification at signup, which is refunded automatically after a successful first billing cycle.
• A 3-day free trial may be offered. If a trial is active and you do not cancel before it ends, the subscription auto-renews and you are charged the monthly price.
• Your subscription auto-renews each month until you cancel. Cancel any time from the billing portal (Dashboard → Billing). Cancellation takes effect at the end of the current billing period.
• Usage of underlying model providers is metered. Your monthly fee includes a credit allotment; additional usage requires top-ups purchased through the dashboard.
• Taxes (where applicable) are added at checkout based on the address you provide.

Refunds

Subscription fees are non-refundable except where required by law or when expressly granted by us. The $1 verification charge is refunded automatically. If you believe you were charged in error, email hello@miatechpartners.com within 14 days.

Acceptable use

You agree not to use Apa to:

• Violate any law, regulation, or third-party right.
• Send spam, harass others, or generate content that is illegal, defamatory, sexually explicit involving minors, or designed to impersonate another person without authorization.
• Resell, sublicense, or expose the Service as a backend to a different product without our written permission.
• Probe, attack, or attempt to bypass the security, rate limits, or billing of the Service or its sub-processors.
• Use the Service to train a competing AI model or to systematically extract model outputs for that purpose.

We may suspend or terminate accounts that violate these rules without refund.

Your content and your tools

You retain ownership of content you provide to Apa and content Apa produces on your behalf. You grant us a limited license to process, store, and transmit that content solely to operate the Service for you. OAuth tokens for tools you connect are stored inside your private agent sandbox; you can revoke them at any time from the tool provider.

Account security

You are responsible for keeping your password and Telegram account secure and for everything that happens under your account. Notify us immediately at hello@miatechpartners.com if you suspect unauthorized access.

Service availability

We aim to keep Apa available, but we do not guarantee uninterrupted service. The Service depends on third parties (Telegram, OpenRouter, Fly.io, Composio, Stripe, Railway), and outages or changes from them may affect availability.

Disclaimers

The Service is provided “as is” and “as available” without warranty of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Apa generates AI output that may be inaccurate or inappropriate; review and use its output at your own discretion.

Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of $100 USD or the amount you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

Termination

You may cancel at any time from the billing portal. We may suspend or terminate your account for breach of these terms, fraud, abuse, or if required by law. On termination, your data is retained per the Privacy Policy.

Changes to these terms

We may update these terms; the “Last updated” date above will reflect the current version. Material changes will be announced by email or in the dashboard at least 14 days in advance. Continued use after the effective date constitutes acceptance.
